1. What Empirica is
Empirica is a technology platform for writing, sending and signing agreements electronically, and for meeting on video. Empirica is not a law firm, does not practice law and does not give legal advice. The agreements you write, send and sign on Empirica are yours; the other party is whoever you send them to. Empirica is not a party to any agreement signed on it.
2. Your account
You sign in with a one-time code sent to your email address, or with a passkey you registered. Your account is attributed to that email address. Keep it yours: what is signed from your account is signed by you. Tell us at once if you believe someone else has used it.
3. Agreements you sign
When you sign on Empirica you agree to do business electronically and you intend the signature to bind you, as electronic signatures do under laws such as the US ESIGN Act and UETA. Empirica records, for each agreement, who signed, when, from which address and on which device, seals the executed agreement as a PDF, and records its SHA-256 hash. That record is the proof; the signature image is the ceremony.
Empirica does not check the content of an agreement for you. Whether an agreement is enforceable, lawful or wise where you are is for you to judge, with a lawyer where the matter warrants one.
4. The smart assistant
The smart assistant writes and edits text at your request from what you tell it. It is a writing assistant, not a lawyer, and its output is a draft for you to read, change and decide on. Where a question turns on the law of a place or on a matter that could end in a dispute, have a lawyer review it.
5. Kaigi
A kaigi is a video meeting on Empirica. The host's page may record a transcript of the captions when captions are on, and the host may ask for a write-up produced from that transcript. Everyone invited sees that captions are on. Do not record a kaigi by other means without telling the people in it.
6. What we keep
Agreements, their events and their sealed PDFs are kept so that both parties can return to them. Signatures you ask us to keep on file are kept until you remove them. The privacy page says what else we keep and who sees it.
7. Conduct and termination
Do not use Empirica to send agreements to people who did not ask for them, to impersonate anyone, or to sign as someone you are not. We may suspend or close an account used that way. You may stop using Empirica at any time; agreements you have signed remain on record for the other party.
8. Liability
To the fullest extent the law allows, Empirica is not liable for the content of any agreement signed on it, for the acts or omissions of any party to one, or for indirect or consequential loss. Empirica is provided as it is; we do not promise it will be available at every moment.
9. Changes
We may update these terms. The version and date at the top change when we do, and material changes are notified by email to every account before they take effect.
